Purpose of Job:
1.Interprets, prepares, reviews and evaluates contracts, leases, complaints, legal pleadings, inquiries and other legal documents particular to business transactions and general litigation. 2.Advises and counsels members of management and the sales force in matters of legal importance from a problem-avoidance perspective as well as a problem-resolution point-of-view in order to minimize corporate liability. 3.Provides effective coordination and administration of activities of ourside retained counsel to achieve favorable results while controlling costs. 4. Interprets, prepares, reviews and evaluates commercial agreements, leases, inquiries and other legal documents particular to business transactions . 5. Effectively resolves intellectual property related issues/disputes as well as counsels, recommends and assists the implementation of long term intellectual property protection strategy with Chief Counsel, Intellectual Property in Dallas. 6. Reviews all marketing-related materials, literature and packaging to be published by the Company in order to ensure compliance with patent, trademark, and copyright requirements as well as applicable statutory standards. 7. May attend sales force conferences to assist the sales force in answering questions regarding Company policy, legal aspects of the marketing plan or other legal issues. 8. Provides legal advise and drafts documents regarding various aspects of legal compliance, interpretation and counseling to ensure the corporate management and operating objectives are protected and in compliance with applicable laws, rules, regulations and other legal requirements, including corporate governance requirements. . 9. Coordinates legal activities with legislative interest groups and outside legal counsel to prevent costly litigation against the corporation where precedence and/or liability could produce a negative impact upon management and operating objectives or harmfully affect profitability goals. 10. Participates in each step of litigation claims, participating in settlement negotiations and ensuring that all settlement documents are in proper form and finalized.
